Terms and conditions
These general terms and conditions apply to all quotes, agreements and services of Alpha Facility BV, Leuvensesteenweg 294, 3070 Kortenberg, company number BE 1039.350.149, info@alphafacility.be (hereinafter “Alpha Facility”).
“Client” means every customer, both businesses and private individuals. For private clients, the special provisions of article 21 also apply.
Draft version. This text will be legally reviewed before publication.
Applicable joint committee
Alpha Facility’s staff fall under the Joint Committee for cleaning and disinfection companies (PC 121).
Organisation of the services
Alpha Facility organises the work and supervises it through its managers.
Changes to the agreed schedule requested by the Client must be communicated to Alpha Facility in writing at least one month in advance.
Subject of the agreement
The agreement covers regular and/or one-off cleaning and window cleaning services at the agreed address.
The specific tasks, frequency, times and any special conditions are set out in the quote, work sheet or special conditions. These form an integral part of the agreement.
Prices and what is included
Unless otherwise agreed in writing, the price includes:
- labour hours;
- the use of Alpha Facility’s materials, equipment and machines;
- normal supervision and organisation costs.
All materials, equipment and machines used by Alpha Facility remain its property at all times.
Unless otherwise agreed in writing, the following are at the Client’s expense:
- water, electricity and heating;
- the disposal of dirty water;
- sanitary and hygiene consumables, such as toilet paper, hand soap, paper towels, washing-up liquid, bin bags and dishwasher detergent.
Price revision and indexation
Alpha Facility may adjust the contract price proportionally in the event of:
- wage increases;
- increases in social charges or insurance premiums imposed by law or by the sector;
- price increases for materials, products or operating costs;
- changes imposed by the competent joint committee or other competent bodies.
A price adjustment takes effect on the date the change officially applies.
If the Client ends the agreement, Alpha Facility may charge price adjustments not yet applied over the months before the end of the notice period, from the last applied adjustment.
Quotes
Quotes and contract prices are based on the information and costs known on the date of the quote.
Consumer quotes state the total price including VAT and all mandatory costs that can be calculated in advance. Business prices may be stated excluding VAT when clearly indicated. Any costs that cannot be calculated in advance and their calculation method are explained before the contract is concluded.
Cancelling one-off services
A one-off service can be cancelled or rescheduled free of charge up to 48 hours before the agreed time.
For later cancellations, or if the premises are not accessible at the agreed time, Alpha Facility may charge for the planned service.
Force majeure
In the event of force majeure, such as strikes, social unrest, extreme weather, fire, epidemics, government measures or other unforeseen circumstances, Alpha Facility’s obligations are suspended for as long as the force majeure lasts. This does not automatically end the agreement.
Relocation of the Client
If the Client’s offices or premises move, the agreement in principle remains in force. If the move affects the organisation, accessibility, surface area, risks or time required, Alpha Facility may propose a reasonable price adjustment.
Public holidays, Sundays and fixed monthly price
The fixed monthly price takes into account public holidays on which no or only partial work is done. Unless otherwise agreed in writing, this gives no right to an additional discount.
Services expressly carried out on public holidays and/or Sundays are charged at double rate, unless otherwise agreed in writing.
Waste
Alpha Facility is not responsible for collecting, removing or transporting waste left behind by the waste collection service, third parties or the Client, unless this is expressly agreed in writing as part of the assignment. The Client remains responsible for proper waste collection through the competent services.
Complaints and damage
Complaints about the work must be reported in writing within 48 hours of the service concerned.
A damage claim must be reported in writing within three working days of discovering the damage, by registered letter or another written means that proves the date of sending and receipt. The report must clearly describe the damage, the circumstances and, where possible, an estimate of the repair costs.
A late or insufficiently described report may be considered inadmissible. For private clients, article 21 applies.
Obligations of the Client
The Client guarantees that the premises comply with legal requirements on safety, health, working conditions and access, and indemnifies Alpha Facility against third-party claims arising from them, except in the event of serious fault or intent on Alpha Facility’s part.
The Client also undertakes to:
- make the areas to be cleaned accessible at the agreed times;
- provide sufficient lighting, water and electricity;
- keep desks and work surfaces as free as possible of loose items and personal belongings.
Liability and insurance
Alpha Facility is covered by the legally required insurance policies, including workplace accident insurance, civil liability insurance and, where applicable, fire insurance. The Client must report any damage or incident for which it holds Alpha Facility liable immediately and in writing.
Alpha Facility is only liable for direct damage resulting from a proven fault or negligence of Alpha Facility, its employees or agents, within the limits of its insurance. Subject to mandatory law, liability per claim is limited to EUR 2,500,000 and in any case to the total amount excluding VAT invoiced to the Client in the calendar year of the damage, whichever is lower.
Alpha Facility is not liable for:
- scratches on windows or glass, broken lamps or similar damage not caused by a fault of Alpha Facility;
- damage caused by the poor condition, age, wear or poor maintenance of buildings, installations, furniture or equipment;
- loss of keys, badges or other means of access, except in the event of proven intent or serious fault;
- indirect or consequential damage or loss of profit, except where the law does not allow this exclusion.
In the event of theft or disappearance of Alpha Facility’s equipment or machines at the work location, the Client compensates the direct damage, unless it proves that it is not at fault.
Duration and termination
Recurring agreements are concluded for an indefinite period, unless otherwise agreed in writing. Either party may end the agreement with three months’ notice, starting on the first day of the month following the notice. Notice is given by registered letter or another written means that proves sending and receipt. For private clients, article 21 applies.
Non-solicitation of staff
During the agreement and for twelve months after it ends, the Client will not directly or indirectly employ any Alpha Facility staff member who worked at its premises, nor encourage such a person to leave Alpha Facility. In the event of a breach, the Client owes fixed compensation equal to three months’ gross salary of the staff member concerned, insofar as legally permitted. This article does not apply to private clients.
Invoicing and payment
Recurring services are invoiced at the end of each month. Other services are invoiced after completion, unless otherwise agreed in writing. Invoices are payable within 30 days of the invoice date.
Late payment by businesses
If payment is not made on the due date, a business owes, automatically and without notice of default, late-payment interest of 1.5% per month and fixed compensation of 10% of the outstanding amount with a minimum of EUR 25, insofar as legally permitted. For private clients, article 21 applies.
Acceptance of the terms
These terms are made available with the quote before the contract is concluded, in a form the Client can retain. They apply when validly accepted when concluding the contract. Submitting the website quote form is not, by itself, an order or acceptance of a paid assignment.
Entire agreement and order of precedence
Together with the quote, the work sheet, special conditions and later written arrangements, these terms form the entire agreement. In case of conflict, this order applies: 1) special written conditions, 2) the accepted quote, 3) the work sheet or task description, 4) these general terms.
Special provisions for private clients
The following provisions apply to clients acting as consumers. They take precedence over any conflicting articles. The consumer’s statutory rights always continue to apply.
- Right of withdrawal: for a service contract concluded at a distance or outside our premises, consumers normally have 14 days from conclusion to withdraw without giving a reason. An unequivocal statement to info@alphafacility.be or by post is sufficient; consumers may also use the statutory model form supplied before the contract. Starting during that period requires an express prior request and the required information. On withdrawal, proportionate payment for services already performed is due only where statutory conditions are met. The right is lost after full performance only if the consumer expressly consented beforehand and acknowledged that full performance would end the right of withdrawal.
- Late payment: we first send a free reminder and observe the statutory waiting period of at least 14 calendar days and the rules governing its starting date. Any interest or compensation must be validly agreed and remain within Book XIX of the Belgian Code of Economic Law. Article 18 does not apply to consumers.
- Complaints: please report complaints as soon as possible, preferably within 48 hours, so we can assess and resolve the situation. A later report does not affect your statutory rights.
- Liability: the limitations and exclusions of article 14 apply only insofar as the law allows.
- Termination: consumers may end recurring agreements with one month’s notice.
- Disputes: consumers may also contact the Consumer Mediation Service (www.mediationconsommateur.be).
Privacy
Alpha Facility processes personal data in accordance with its privacy statement, available on this website.
Applicable law and competent court
These terms and all agreements are governed exclusively by Belgian law. Disputes fall under the jurisdiction of the courts of the judicial district of Leuven, subject to mandatory legal provisions.
